The data entered, including business listings and personal profiles, is the responsibility of the individual or entity that provides it.

2.2 User Generated Content

Users are solely responsible for the credibility, legality, and accuracy of the information they enter onto our platform. Business Buyers UK does not endorse any listed businesses, their owners, or the details of the transactions facilitated through our service.

3. No Liability

3.1 Accuracy and Engagement

Business Buyers UK shall not be liable for any inaccuracies in the information provided on the platform, nor for the actions of users who engage with one another based on the information found here. Engaging with buyers and professional intermediaries is done at your own risk.

3.2 Platform Use

Business Buyers UK provides its platform and services "as is" without any warranty of any kind, express or implied. We do not guarantee the platform's performance or the outcomes of any transactions initiated through our service.

3.3 Limitation of Liability

In no event will Business Buyers UK, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, our platform, any websites linked to it, any content on our platform, or such other websites. This includes, but is not limited to, any direct, indirect, special, incidental, consequential, or punitive damages, such as personal injury, loss of revenue, loss of profits, loss of business, and loss of data, whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.

4. Use of Service

4.1 Compliance

Users agree to use the platform in compliance with all applicable laws and regulations and not to use the platform for any unlawful purposes.

5. Obligations for Intermediaries

5.1 Sign-Up and Acceptance of Terms

As part of the professional intermediary’s sign-up process on the Business Buyers UK platform, intermediaries agree to these Terms of Use and acknowledge that they are responsible for ensuring the accuracy and legality of the information they provide about businesses. When adding a company to the platform, intermediaries agree that the buyer's triggering of an online NDA constitutes acceptance of the NDA by both parties. Intermediaries also acknowledge that they have reviewed and accepted the NDA terms detailed on an example NDA here.

5.2 Business Listings Maintenance

Data Accuracy and Updates
Intermediaries must ensure that the information in their business listings is accurate and current. This includes updating any changes in the business's status and details.

Status Updates
Intermediaries must update the status of their listings to accurately reflect their current state. Possible statuses include:
- Under Offer
- Exclusive Negotiations
- Completed
- Cancelled
- Withdrawn
- Paused

Details on Completed Listings
When marking a listing as Completed, intermediaries must provide a detailed reason for the completion. If the listing is marked as Sold, they must include the final sale price, the total amount of debt financing involved (if known), and specify what percentage of the sale price, if any, is deferred to a later date.

5.2 NDA Communication Obligations

Communication Requirements
Once an NDA is signed by a buyer, intermediaries are required to contact the buyer within two (2) business days. This communication should either provide the requested information or inform the buyer if the intermediary chooses not to share certain sensitive information, such as an information memorandum, and must include the reasons for this decision.5.3 Confidentiality Options for Listings

Information Restrictions
Intermediaries have the option to restrict certain confidential information, such as names, addresses, UK registration numbers, shareholders, etc., from being automatically disclosed to the buyer upon completion of the NDA. This option can be selected when adding or updating a business listing on the platform.

6. Obligations for Buyers

6.1 Confidentiality and Non-Disclosure

Adherence to NDA
Buyers must strictly adhere to the terms and conditions of any Non-Disclosure Agreement (NDA) they sign when engaging with intermediaries on the platform. This includes maintaining the confidentiality of any proprietary or sensitive information obtained during the due diligence process.

Protection of Confidential Information
Buyers are responsible for ensuring that any confidential information they receive is not disclosed to unauthorised parties and is used solely for the purpose of evaluating potential business acquisitions.

Non-Disclosure to Third Parties
Buyers must not disclose any information marked as confidential to third parties without the express written consent of the intermediary or the business owner, except as required by law.

6.2 Due Diligence and Integrity

Accurate Information Provision
Buyers are required to provide accurate and truthful information about themselves and their intentions when registering on the platform and when engaging with intermediaries and business listings.

Timely Communication
Buyers must respond to communications from intermediaries in a timely manner, especially in relation to ongoing negotiations or requests for additional information.

Respect for Business Confidentiality
Buyers must respect the confidentiality of business information even if they decide not to proceed with a purchase, ensuring that any non-public information remains protected and is not used for any other purpose.

6.3 Engagement and Conduct

Professional Conduct
Buyers are expected to conduct themselves professionally and respectfully when interacting with intermediaries and business owners on the platform. This includes being honest about their intentions and providing constructive feedback if they choose not to pursue a business acquisition.

Compliance with Platform Terms
Buyers must comply with all the terms and conditions set forth by Business Buyers UK, including those related to the acceptable use of the platform, data protection, and legal compliance.

Engagement with Multiple Listings
Buyers engaging with multiple business listings must ensure that they manage their enquiries and interactions without causing unnecessary delays or complications for intermediaries or business owners.

7. Payment and Subscriptions

7.1 Advance Payment for Services

All payments for services, including monthly or annual subscriptions and purchases of reports or other services, must be made in advance. These payments are necessary to access and use the services provided by Business Buyers UK.

7.2 No Refund Policy

Payments made for services, including subscriptions and report purchases, are non-refundable. This policy applies regardless of the length or type of service purchased. Buyers are advised to review service details carefully before making a purchase.

7.3 Secure Payment Processing

All payments are processed securely through our payment provider, Stripe. Business Buyers UK does not store any credit or debit card details on its servers. By using our services, buyers agree to the terms and conditions set forth by Stripe.

7.4 Payment Obligations

Buyers are responsible for ensuring that their payment information is up-to-date and that all dues are paid in a timely manner. Failure to comply with payment obligations may result in suspension or termination of access to services.

7.5 Automatic Renewal

Subscriptions may be set to automatically renew unless cancelled before the end of the current subscription period. Buyers are responsible for managing their subscription settings and ensuring that they understand the renewal terms.

8. Changes to Terms

8.1 Modification Rights

Business Buyers UK reserves the right to modify these Terms of Use at any time. We will provide notice of these changes by updating the "Effective Date" at the top of the Terms of Use and by posting the updated Terms on our website.

9. Indemnification

9.1 Indemnification Agreement

You agree to defend, indemnify, and hold harmless Business Buyers UK, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the platform. This includes your User Contributions, any use of the platform's content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the platform.

10. Governing Law

10.1 Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of England and Wales, without giving effect to any choice or conflict of law provision or rule.

10.2 Dispute Resolution

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the platform shall be instituted exclusively in the courts of England and Wales. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

11. Waiver and Severability

11.1 Waiver Clause

No waiver by Business Buyers UK of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of Business Buyers UK to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

11.2 Severability Clause

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
