When adding a company to the platform, intermediaries agree that the buyer's triggering of an online NDA constitutes acceptance of the NDA by both parties. Intermediaries also acknowledge that they have reviewed and accepted the NDA terms detailed on an example NDA here.

5.2 Business Listings Maintenance

Data Accuracy and Updates
Intermediaries must ensure that the information in their business listings is accurate and current. This includes updating any changes in the business's status and details.

Status Updates
Intermediaries must update the status of their listings to accurately reflect their current state. Possible statuses include:
- Under Offer
- Exclusive Negotiations
- Completed
- Cancelled
- Withdrawn
- Paused

Details on Completed Listings
When marking a listing as Completed, intermediaries must provide a detailed reason for the completion. If the listing is marked as Sold, they must include the final sale price, the total amount of debt financing involved (if known), and specify what percentage of the sale price, if any, is deferred to a later date.

5.2 NDA Communication Obligations

Communication Requirements
Once an NDA is signed by a buyer, intermediaries are required to contact the buyer within two (2) business days. This communication should either provide the requested information or inform the buyer if the intermediary chooses not to share certain sensitive information, such as an information memorandum, and must include the reasons for this decision.5.3 Confidentiality Options for Listings

Information Restrictions
Intermediaries have the option to restrict certain confidential information, such as names, addresses, UK registration numbers, shareholders, etc., from being automatically disclosed to the buyer upon completion of the NDA. This option can be selected when adding or updating a business listing on the platform.

6. Obligations for Buyers

6.1 Confidentiality and Non-Disclosure

Buyers must strictly adhere to the terms and conditions of any Non-Disclosure Agreement (NDA) they sign when engaging with intermediaries on the platform. This includes maintaining the confidentiality of any proprietary or sensitive information obtained during the due diligence process.

Protection of Confidential Information
Buyers are responsible for ensuring that any confidential information they receive is not disclosed to unauthorised parties and is used solely for the purpose of evaluating potential business acquisitions.

Non-Disclosure to Third Parties
Buyers must not disclose any information marked as confidential to third parties without the express written consent of the intermediary or the business owner, except as required by law.

Buyers are required to provide accurate and truthful information about themselves and their intentions when registering on the platform and when engaging with intermediaries and business listings.

Timely Communication
Buyers must respond to communications from intermediaries in a timely manner, especially in relation to ongoing negotiations or requests for additional information.

Buyers must respect the confidentiality of business information even if they decide not to proceed with a purchase, ensuring that any non-public information remains protected and is not used for any other purpose.
